(The Contractor)
STANDARD TERMS AND CONDITIONS
These are the Contractor ("we" or "our") standard Terms and Conditions, which will apply to every contract when you, the Customer, engage the Contractor to perform services. In the course of providing our services, we may also need to supply products.
The Contractor reserves the right to amend these Terms and Conditions from time to time at its discretion. Any changes made in such revisions will take immediate effect once the Customer is notified.
ENGAGEMENT
The Contractor represents and warrants that it has the necessary skills, knowledge, experience, and expertise to perform the services and will perform them in a proper and competent manner.
The Contractor holds all necessary licenses required to allow the Contractor to perform the services. The Contractor and its employees and sub-contractors will comply with applicable industry standards and codes and will perform the services to required standards.
If an event occurs beyond the reasonable control of the Contractor that prevents performance on the agreed date, the Contractor will immediately notify the Customer and provide an estimated time for completion.
The Contractor will supply all necessary equipment and materials to perform the service. Unless agreed otherwise, all materials, including products, will be new, high-quality, and fit for their intended purpose. All Contractor equipment will be safe, well-maintained, and capable of performing the service.
If the Customer requests a variation to the service, the Contractor will provide a quote for the additional work. If accepted by the Customer, the additional sum will be added to the price. If the Customer does not accept the quote, the Contractor is not obliged to carry out the variation.
The Contractor may use sub-contractors to perform any of the services. In such cases, the Contractor will ensure that sub-contractors are properly qualified, licensed (where applicable), and meet the necessary standards.
The Contractor is solely responsible for all fees payable to sub-contractors.
ACCEPTANCE OF THESE TERMS
Any act by the Customer or those acting on behalf of the Customer requesting the Contractor to begin services will be considered acceptance of these Terms and Conditions.
Once accepted, these Terms are irrevocable and cannot be amended without written consent from the Contractor.
If there is more than one party as the Customer, all Customers will be jointly liable for these Terms.
If the Customer cancels the engagement after acceptance, the Customer agrees to pay for any costs incurred up to the point of cancellation.
QUOTES, INVOICES, AND PAYMENT
A quote from the Contractor is valid for 60 days. After this period, if the Customer wishes to proceed, a new quote will need to be provided.
The Customer agrees to pay the Contractor’s fee within 7 days of service completion. The price includes GST and is the full amount payable for the service.
Unless otherwise stated, quotes assume work will be carried out during normal business hours.
The Customer is responsible for supplying amenities such as electricity, water, and sanitary facilities.
The Contractor is not responsible for the cost of delivering tiles unless otherwise stated.
If more tiles are needed to finish the job, the Customer will bear those costs.
The Contractor will issue a tax invoice detailing the service performed, including variations, dates, and expenses.
Payments are due via electronic transfer or cash. Late payments will incur 3% interest per calendar month, and the Customer will be liable for costs incurred in recovering the debt, including solicitor fees.
The Customer is not entitled to deduct any invoiced amount from amounts owing to the Contractor.
HEALTH AND SAFETY
The Customer must ensure they are authorized to occupy the premises where the service will be performed.
The Customer must ensure the property is safe and that all facilities for the service are safe.
The Customer will provide unencumbered and unobstructed access to the service area.
The Contractor will ensure safe practices and proper safety procedures, using the required protective equipment.
The Contractor maintains Workers Compensation insurance and can provide proof upon request.
LIMITATION ON WARRANTY
The Contractor warrants that all services performed and products supplied will be fit for their intended purpose and perform according to applicable specifications.
The Contractor is not liable for negligence or losses, including consequential loss, arising from the service or products provided.
Where the service is not for personal, domestic, or household use, liability is limited as per the Commerce Act 1986, either by supplying the service again or paying the cost of re-supply.
JURISDICTION
These Terms will be governed by New Zealand law, and both parties submit to the jurisdiction of New Zealand courts for dispute resolution.
FORCE MAJEURE
Neither the Contractor nor the Customer will be held liable for any breach of these Terms if caused by events beyond their control, such as acts of Allah, war, natural disasters, terrorism, or other unforeseen events.
